Judge says stock perps look like swaps, CFTC likely overstepped

Stock perpetuals lawsuit judge ruling

A New York federal judge said on Tuesday that the CFTC likely exceeded its authority when it approved perpetual futures on individual US stocks, finding that the contracts appear to be swaps rather than futures and belong under the SEC. Judge Valerie Caproni’s reasoning was blunt. A security future is a contract for future delivery of a stock. A perpetual by definition never delivers, so it cannot be a security future. She added that the CFTC’s action seemed to represent “a major disruption to the equities market.”

The ruling (full text below) came in a lawsuit filed by the Capital Markets Alliance, a newly formed trade body whose members include Cboe, Citadel Securities and the Healthy Markets Association. Despite siding with the group on the law, Caproni denied its request for an emergency order halting the contracts because it had not shown its members faced imminent harm. The perpetual products were approved by the CFTC just hours earlier, and trading had not yet begun.

Kalshi wasted no time, but it chose its first steps carefully. By Wednesday morning it had listed perpetual contracts on Qualcomm, McDonald’s, Amgen and Costco, with leverage capped at 4.9 times. The names that crypto native traders actually want to trade, such as Nvidia, Tesla, SpaceX and Palantir, were among the nearly 100 contracts approved but were not listed. The initial four stock perpetuals traded around $23 million in the past 24 hours.

The case now moves to Judge Lorna Schofield on an expedited schedule. The CFTC’s opposition to a preliminary injunction is due Friday and the alliance replies next Tuesday. The merits finding has no binding effect yet, but it sets the tone and raises the stakes for anyone building positions in the new contracts.
